These Terms and Conditions (“Terms”) govern your access or use of the information service platform (“Platform”) through our mobile applications, website, and applications (collectively referred to as “Applications”) to receive services made available by THESSY LOGISTICS LIMITED, a company incorporated in ENGLAND.

Please carefully read through these Terms before accessing or using the Platform. These Terms, whether expressly stated or otherwise referenced herein, establish rights and obligations and constitute a legal agreement between Thessy logistics Limited and you.

By using or accessing the Platform, you explicitly affirm that:

– You have read and understood these Terms.

– You will comply with these Terms.

– You will adhere to the Community Guidelines.

– You are at least the age of legal majority in your place of residence and otherwise legally competent to enter into contracts.

You also acknowledge and agree that you have the authority to enter into these Terms personally and, if applicable, on behalf of any organization for which you have enrolled to use the Platform, binding such organization to these Terms.

IF YOU DO NOT AGREE TO ANY OF THESE TERMS, PLEASE DO NOT ACCESS OR USE THE PLATFORM. PLEASE READ CAREFULLY THE “DISCLAIMER,” “LIMITATIONS OF LIABILITY,” AND “INDEMNITY.” THESE PROVISIONS LIMIT OUR LIABILITY TO YOU.

In these Terms, the terms “you” or “your” refer to all individuals and other persons who access or use the Platform, including, without limitation, any organizations that enroll or otherwise access or use the Platform through their respective representatives or employees (“Users”).

In these Terms, “Applicable Law(s)” means applicable United Kingdom laws, rules, and regulations governing payments and all services provided hereunder, including any and all foreign laws, treaties, rules, regulations, regulatory guidance, directives, policies, orders, or determinations of (or agreements with), and mandatory written direction from (or agreements with) any regulatory authority, as each of the foregoing may be amended and in effect from time to time.

We reserve the right to change these Terms periodically. If changes occur, we will notify you by revising the date at the top of the Terms and, in some cases, provide additional notice (such as adding a statement to our homepage or sending you an email notification). We encourage you to review these Terms periodically to stay informed about our practices. The revised Terms are effective when posted unless we notify you otherwise. Continuing to use the Platform after the revised Terms have been posted implies your acceptance of the changes.

1. Our Services

The services provided by Thessy Logistics Limited (“Services”) aim to connect Users with independent third-party delivery partners (“Delivery Partner”) offering transportation, logistics, and/or delivery services. The use of the Platform, supplied by Thessy Logistics Limited, facilitates the availing or requesting of transportation and/or logistics services from Delivery Partners. It is acknowledged that Thessy Logistics Limited and its affiliates do not own, employ, or provide transportation and/or logistics services, and all such services are rendered by Delivery Partners.

2. Use of the Software

When utilizing the software provided by Thessy Logistics Limited (“Software”), you agree that:

– You are authorized to install the Software on your mobile device for personal use.

– Renting, leasing, sublicensing, distributing, or transferring copies of the Software or its license to third parties is not permitted.

– You shall not probe, scan, or test the vulnerability of the Platform or any connected network, nor breach security measures.

– Modification, adaptation, reverse engineering, or any alteration of the Software is prohibited.

– You shall not interrupt the normal operation of the Software or export its source code.

– Uploading or sending computer viruses, worms, trojans, or malicious codes is strictly prohibited.

– Installation and execution of the Software on devices other than the approved ones are not allowed.

– No license or right beyond using the Software is granted, and the ownership of the Software is reserved by Thessy Logistics Limited and its suppliers.

3. Use of the Services – User Account

To use the Services, you must register for a personal account (“Account”) with Thessy Logistics Limited, providing accurate personal information per Thessy Logistics Limited Privacy Policy. After successful registration, an Account with a chosen password is provided. Certain restrictions may apply based on your resident jurisdiction, and compliance with age limits is mandatory.

While using the Services, you agree to:

– Access the Services only through authorized means.

– Use the Platform and Services for personal use only and not resell to third parties.

– Not authorize others to use your Account.

– Have a single Account and refrain from transferring it to others.

– Use an Account with proper authorization.

– Let Thessy Logistics verify provided information, with the right to refuse service without notice.

– Be responsible for acquiring compatible hardware and updating it.

– Not engage with Delivery Partners outside the Platform.

– Use the Services for lawful purposes, complying with Applicable Law.

Rules of Use:

– Users confirm ownership or authorized agency for goods shipped.

– Users are responsible for compliance with laws related to shipments.

– Users will not dispatch prohibited, dangerous, perishable, or radioactive items.

– Alcohol or tobacco transport is subject to local laws.

– Users must notify Thessy Logistics Limited before transporting pets and adhere to relevant policies and laws.

– Additional fees apply for Pet Transportation.

– Thessy Logistics Limited and Delivery Partners are not responsible for damages resulting from the transportation of shipments, except for Corporate Account Users.

Shipping and Packaging Guidelines

– Users are responsible for ensuring that shipments are securely packed to prevent damage during transportation. No part of a shipment should be removable without tearing, breaking, or tampering with the case, wrapper, or container.

– For fragile items, especially those susceptible to bending, Users must ensure adequate packaging. Fragile shipments should be enclosed in a durable container with sufficient protective material to guard against damage. The container should bear a label indicating its fragile contents.

– Thessy Logistics Limited is not liable for providing protective services for perishable or temperature-sensitive commodities. Any additional protective services are the responsibility of the Delivery Partner, and such commodities are transported at the User’s risk.

– Users must provide all necessary information for each shipment. In the absence of the recipient at the specified address, the Delivery Partner will attempt to return the shipment to the User. Unclaimed items will be delivered to Thessy Logistics Limited local office, and if not claimed within 14 calendar days, Thessy Logistics Limited may proceed at its discretion. Additional fees for handling and transportation will be borne by the User.

– Delivery Partners do not assist with loading, unloading, moving, hauling, or lifting unless the Helper Service is requested. Users must adhere to Thessy Logistics Limited policies and Applicable Law when requesting Helper Service, with an additional fee based on the Delivery Partner’s discretion.

– For Services with purchase requirements, Users must comply with Thessy Logistics Limited policies and Applicable Law. Additional fees for Purchase Service will be reflected in the Application.

– Thessy Logistics Limited reserves the right to terminate the Account, Services, and use of the Application for non-compliance with the above requirements. Thessy Logistics Limited may modify, terminate, or suspend Services at any time without prior notice due to policy changes or Applicable Law, or for any breach of these Terms at Thessy Logistics Limited sole discretion.

Communication

By creating an Account, Users agree to receive communications from Thessy Logistics Limited, including emails, text messages, calls, and push notifications. Users may receive communications generated by automatic systems, including pre-recorded messages. Opting out may affect Service usage.

Promotional Offers and Credits

– Thessy Logistics Limited may, at its discretion, provide promotional offers to Users with different features and rates, subject to these Terms and specific terms outlined by Thessy Logistics Limited.

– Users agree that promotional offers are for the intended audience, purpose, and lawful use. Duplicating, selling, or transferring offers to the public is prohibited unless expressly permitted by Thessy Logistics Limited.

– Promotional offers are subject to specific terms set by Thessy Logistics Limited, cannot be redeemed for cash, and expire on the indicated date.

– Thessy Logistics Limited may withhold or deduct credits or benefits obtained through promotions if deemed fraudulent, in error, illegal, or in violation of terms. Thessy Logistics Limited reserves the right to modify or cancel offers without liability.

Other Third-Party Interactions

– Interactions with third-party service providers, advertisers, or sponsors on the Platform are solely between the User and the third party. Thessy Logistics Limited has no liability for such interactions, including purchases or agreements, and is not responsible for agreements between Users and third-party providers.

Payments on the Services

– Thessy Logistics Limited may introduce a fee for Platform use, and Users will be notified accordingly.

– Charges for transportation and services by the Delivery Partner are due upon order placement and deducted from the Thessy Logistics Wallet or the designated payment method.

– Charges are non-refundable unless determined otherwise by Thessy Logistics Limited. Charges are in British Pounds, and taxes are applied where required by law.

– Priority or add-on fees are voluntary, and once selected, they become part of the Charges. Thessy Logistics reserves the right to adjust charges based on circumstances.

– Thessy Logistics Limited may refund the equivalent sum if unable to process an application/request. Users may cancel service requests before the Delivery Partner arrives, but cancellation fees may apply.

– Receipts are issued upon successful payment. Negative balances in the Thessy Logistics Wallet may lead to unavailability of services.

Payment Methods

– Cash Payment: Users may pay charges in cash, borne by them.

– Electronic Payment Gateways: Charges can be settled through third-party gateways, subject to confirmation from the Payment Processor. Thessy Logistics is not responsible for payment processor errors or unauthorized use.

– Thessy Logistics Wallet: Users can top up and purchase credits through the Thessy Logistics Wallet for in-app service requests.

Thessy Logistics Wallet and Payment Methods

– Thessy Logistics Limited retains the absolute right to revise credit package prices or credit limits without prior notice. All credits are prepaid and non-exchangeable, non-returnable, and non-refundable unless required by Applicable Law or at Thessy Logistics’ discretion.

Top-Up Methods for Thessy Logistics Wallet:

1. Electronic Payment Gateways:

   – Users can top up and purchase credits through Thessy Wallet using a Payment Processor. Thessy Logistics Limited is not liable for errors on the Payment Processor’s end or unauthorized use of E-Wallet payment instruments.

2. Credit Card:

   – Users may make payments through a credit card enabled by Payment Gateways or Payment Processors. Users authorize these entities to complete transactions and acknowledge Thessy Logistics Limited non-responsibility for payment processor errors.

3. Bank-in:

   – Top-ups via bank-in are processed after the User’s payment is cleared by the bank appointed by Thessy Logistics Limited and upon Thessy Logistics’ approval.

Intellectual Property Ownership

– Thessy Logistics Limited and its licensors exclusively own all rights, title, and interest, including intellectual property rights, in the Platform and Services. Users are not granted any ownership rights, and trademarks associated with the Platform and Services are the property of Thessy Logistics Limited or third parties.

– Users grant Thessy Logistics Limited a worldwide, perpetual, irrevocable license to use User Content. Thessy Logistics Limited acts as a passive channel for User Content distribution and is not responsible for its accuracy. Users indemnify Thessy Logistics Limited against costs related to User Content.

– Thessy Logistics Limited reserves the right to block or remove User Content that violates the Terms. Thessy Logistics limited does not accept confidential ideas or suggestions and retains ownership of voluntary submissions.

Use of Information

– Users may use information made available by Thessy Logistics Limited for personal, non-commercial purposes, provided they comply with specified conditions.

Disclaimers

– Services are provided “as is” and “as available.” Thessy Logistics Limited makes no representation or warranty regarding reliability, timeliness, quality, suitability, or availability of the Services. Thessy Logistics Limited disclaims control over third-party providers and User/ third-party content.

Limitation of Liability

– Thessy Logistics Limited is not responsible for damages to items, service quality, unaccepted bookings, damages resulting from service use, or lost items. Users bear the entire risk of service use.

Indemnity

– Users agree to defend, indemnify, and hold Thessy Logistics Limited, its affiliates, licensors, and related parties harmless from claims, costs, damages, losses, and liabilities arising from Users’ violation of Terms or Applicable Law, or their use or misuse of the Service.

Governing Law

– These Terms are exclusively governed by the laws of the United Kingdom. In cross-jurisdictional orders, Thessy Logistics Limited reserves the right to decide applicable terms. Disputes are subject to mediation, arbitration, or the courts of the United Kingdom, as determined by Thessy Logistics Limited.

General

10.1. These Terms and associated rights/licenses are non-transferable for users but may be assigned by Thessy Logistics Limited without restriction. Any attempted transfer or assignment in violation is void. These Terms bind and benefit both parties and their successors/assigns.

10.2. If any provision is illegal or unenforceable, it shall be deemed excluded, while the remaining provisions’ legality, validity, and enforceability remain unaffected. The parties will replace the invalid provision with a valid one, aiming for a similar effect.

Language Versions

11. In case of discrepancies between English and regional language versions, the English version prevails.

Corporate Account User

– Corporations must ensure their Authorized Users download the App, maintain an Active Account, and provide necessary information to link to the Corporate Account.

– Responsible for Corporate Account User actions, Corporations agree to pay incurred charges and fees.

Account Administration

– Primary contact is through Company Admins. The Portal enables various functionalities related to Authorized Users, Corporate Orders, Corporate Wallet, and statements. Users agree to use Portal Data for legitimate business purposes. Thessy Logistics Limited may modify Portal features without notice.

– Users must maintain Portal login credentials’ confidentiality, allowing only Company Admin access, and keeping information accurate.

Charges and Corporate Wallet

– Thessy Logistics Limited may charge a premium for Corporate Accounts.

– Corporate Wallet facilitates top-ups and credit purchases, exclusively for IN-APP service requests. Thessy Logistics Limited can revise credit prices without prior notice. Credits are non-exchangeable, non-returnable, and non-refundable unless required by Applicable Law or Thessy Logistics discretion.

– Companies are responsible for all Corporate Account charges, even unauthorized ones.

Warranties

– Users must have rights to provide Data to Thessy Logistics Limited, including obtaining consent from Authorized Users for personal data.

Protection Promises

– Loss, theft, damage, or destruction of shipments/orders made by Corporate Account Users are subject to Thessy Logistics’ protection promises as per the Goods Protection Promises. Thessy Logistics Limited can select Corporate Account Users covered by these promises.
